3 of 3 - How should I order my demo for FINRA? (FINRA, Demoing, Walkthrough, Audit)

Below is an example of the easiest way to walk through your platform from start to finish while meeting the following rules:

  • Rule 303(a)(4)
  • Rule 302(a)(1) 
  • Rule 302(a)(2) 
  • Rule 302(b)
  • Rule 303(d),(f) 
  • Rule 303(c)
  • Rule 303(b) 
  • Rule 303(b)(1) 
  • Rule 303(b)(2) 
  • Rule 302(c),(d)
     

Step 1:


Navigate to your platform URL as a potential investor

  • Confirm that you are able to view the Public Offering landing page (Marketplace view)
  • View offers without logging in or signing up
    • Satisfying Rule 303(a)(4)

Step 2:


Select the option to sign up as an investor

  • Confirm the agreement to the electronic delivery of all communication
  • Acknowledgement field should appear upon account setup
    • Satisfying Rule 302(a)(1)


Step 3:


Navigate to your inbox, and view the welcome email that is sent to the investor 

  • Click on the links to the Education Materials
    • Satisfying Rule 302(a)(2) and Rule 302(b)

Step 4:


Once logged in, select the account type

  • Individual or Entity
  • Definitions of each account type are displayed


Step 5: 


When given the accreditation selection options, confirm that the investor can select I am NOT accredited

  • Confirm both accredited and unaccredited investors may sign up

Step 6:


Click into an offer to view the offer details 

  • Select the Q & A tab
  • TIP: It is helpful to have an example question and answer to show that would be posted by your Test Investor Account
  • This section will appear blank if no questions and answers have been posted (questions will not appear without answers)
    • Satisfying Rule 303(c)


Step 7:


Click Invest to start the Investor Flow on the offer

  • Fill out required investor details and submit
  • Demonstrate the Income Verification step
  • TIP: It is helpful to show the various outcomes of each answer since page is dynamic, based on selections 


Step 8:


Walk through the disclosures that are present on the Payment Method screen

  • Be sure to open the links included to the Education Materials and Form C
    • Satisfying Rule 302(c),(d)

Step 9:


Submit a transaction

  • Navigate to your inbox, and view the transaction email sent to the investor
  • Email contains information about the investor and the campaign
  • Confirm the Notice of Invested Commitment is sent
    • Satisfying Rule 303(d) and 303(f)

Step 10:


Complete the transaction as the admin, simulating the end of the campaign

  • Navigate to the Portfolio page of the investor’s account
  • Show the data available on transactions, investments, asset values, and returns
