If you need to notify your investors about any material/fundamental changes in an offer, you can do so directly from your portal.
NOTE: Notifying investors about changes defined in FINRA Rule 1011(m) is a Reg CF requirement.
Updating Transactions
The first step will be to update the status of any transactions associated with the offer that has had a material change.
To change the transaction status:
- Select Transactions from the left menu
- Use the Filter menu to choose the offer that has had a material change
- Check the top checkbox to Select All Transactions
- Click Engage
- Choose Change Transaction Status
- Use the Status drop-down menu to select Investor Confirmation Required
- If you have an email template saved to use in this scenario, you can check the box to skip a notification and follow the next set of steps to send your template
- Click Submit
Notifying Investors
The next step will be notify investors via email. They must re-confirm their commitment within 5 days. They will have a link to do so in the email sent to them.
To notify investors:
- Select Transactions from the left menu
- Use the Filter menu to choose the offer that has had a material change
- Check the top checkbox to Select All Transactions
- Click Engage
- Select Send Email
- Make any edits to the email content
- Here is where you can choose your saved template, by clicking on the menu icon highlighted below
- Click Send
NOTE: Do not modify the {{trnx_confirmation_url}}, as this is the link that the investors will use to confirm.
Investor Actions
When using the link in the email, investors will see the option to Reconfirm Transaction. This is also accessible from their Portfolio:
